The Corporate Counsel (Europe) will provide key legal support to the European subsidiaries of the organization across a wide array of areas, including mergers and acquisitions, corporate governance, contract management, labor and employment, and litigation matters.
Acquisitions
- Assist in the review of acquisition transaction documents (Stock Purchase Agreements, Asset Purchase Agreements, Disclosure Schedules).
- Conduct and oversee due diligence for target acquisitions.
- Direct the legal integration of acquired companies.
Contract Management
- Review and negotiate customer contracts and support customer on-boarding efforts.
- Review and negotiate non-disclosure agreements.
Corporate Governance/Litigations
- Lead the corporate governance and entity management functions for all European companies.
- Coordinate and manage efforts in relation to open litigation, including the direction of outside counsel.
- Supervise and direct the efforts of outside litigation counsel.
Privacy Compliance
- Collaborate with external data protection officer to ensure compliance with applicable privacy law.
- Other duties and responsibilities will be assigned as business demands deem necessary.
- Specialized Advanced degree (PhD, J.D.).
- Qualified and authorized to practice law in the Netherlands or Germany.
Other skills and experience we hope to see:
- 3 or more years as a practicing attorney.
- Transportation industry and in-house legal experience (preferred).
- Strong written and oral communication skills (English), with a high attention to detail.
- Leads complex projects.
- Demonstrates considerable judgment in selecting methods.
- Resolves non-routine problems with specialized knowledge.
- Prior transportation, trade law, or in-house experience is preferred, but not required.
- Attentive listening skills and the ability to learn quickly.
- Individual contributor.
- Ability to work independently and prioritize multiple deliverables.
- An interest in international transportation and trade law.
